Terms of Service

Using ZEGIT Tech Solutions VoIP Services, or signing any service agreement, means you have read and accepted these terms. The signed Master Service Agreement (MSA) governs your account in full. These Terms of Service summarize key provisions — the MSA controls in any conflict.

1. Who We Serve

ZEGIT Tech Solutions VoIP Services is operated by The ZEGs Corp. We provide business VoIP services — SIP trunking, DID phone numbers, SMS/MMS, virtual fax, and related features — to businesses operating within the contiguous 48 United States. Service is not available in Alaska, Hawaii, or US territories, and is not offered to residential customers. Home-based businesses located within the 48 contiguous states are eligible.

Before service is activated, we require a signed Master Service Agreement and supporting business documentation: government-issued photo ID of the authorized signer, your IRS EIN assignment letter, and state business registration or articles of organization or incorporation. Valid documentation is not optional — it protects both parties.

2. Prepaid Billing

All services operate on a prepaid basis. Your first month's charges — package fee, DID monthly fees, E911 fees, and any applicable setup fees — are due in full before we create your account or activate any service.

Recurring charges are invoiced at the start of each billing cycle and due within 15 days. Usage-based charges from the prior cycle (overage minutes, international calls, add-on usage) appear on your following invoice. Services will not continue on a zero or negative balance.

We accept checks (payable to ZEGIT Tech Solutions) and credit cards (processed by phone — we do not store card numbers). A 3% credit card surcharge applies to the Pay Per Use plan only. A $30.00 fee is assessed by our check recovery vendor on all returned checks — this fee is collected by the vendor, not by ZEGIT Tech Solutions.

VoIP services are subject to applicable state and local sales tax based on your service address. Tax is calculated and added to your invoice.

3. Late Payment & Collections

If an invoice is not paid by the due date, the following schedule applies — all timelines run from the original due date:

  • 5 business days (grace period): A late fee of $25.00 or 30% of the unpaid balance — whichever is greater — is charged. Written notice is sent to the email address on file.
  • Day 10: Account suspended. Calling is disabled. Your phone numbers are held and not released. A suspended account retains the right to submit a port-out request under FCC rules.
  • Day 40: Account terminated. Phone numbers are released back to the carrier. Any applicable Early Termination Fee is invoiced immediately.
  • Day 90: Unpaid balance referred to a third-party collection agency. This may affect your business credit.

A $15.00 reactivation fee is required to restore a suspended account, in addition to all past-due amounts. Term agreement obligations remain in effect during suspension.

Once a phone number is released at termination, we cannot guarantee its recovery. Numbers return to the carrier pool and may be reassigned. We will make reasonable efforts within any available recapture window, but cannot make guarantees.

4. Emergency Services (E911)

E911 is mandatory on at least one phone number on every account — no exceptions. An account without at least one E911-enabled number will not be provisioned.

With E911 active, dialing 911 automatically sends your registered service address to emergency dispatchers (PSAP). Without E911, a 911 call will connect — but dispatchers will not receive your location automatically. You must verbally provide your name, address, and the location of the emergency. This distinction is critical in situations where you cannot speak.

E911 fees ($1.50/DID setup + $1.50/mo per DID) are government regulatory recovery fees passed through at carrier cost with no markup. A $75.00* carrier fee applies per 911 call attempt from a number without E911 — whether or not the call reaches an operator. Rate as of 5/4/2026 and subject to change.*

VoIP service depends on power, internet connectivity, and your network equipment. If your power or internet is out, 911 may be unreachable regardless of E911 status. We recommend keeping a charged mobile phone available as a backup for emergencies.

Federal law (Kari's Law) requires that 911 can be dialed directly without a prefix. If you use a PBX or business phone system, verify your dial plan routes both 911 and 9+911 correctly. E911 must be active on the DID configured as your outbound caller ID.

*This fee is a carrier/government pass-through charge, not a ZEGIT fee.

5. Call Duration Limits

The following maximum call duration limits apply to all accounts:

  • US 48 States and Canada: 3 hours (180 minutes) per individual call
  • International calls: 1 hour (60 minutes) per individual call

These limits apply per call — there is no cap on total daily call volume or number of calls. Calls that reach the limit are automatically disconnected. Limits apply at the account level and cannot be adjusted per line. They exist to protect all customers from stuck calls and fraudulent usage patterns.

6. Satellite Phone Restrictions

Calls to satellite phone networks — including Iridium, Thuraya, and similar satellite systems — will not complete on this service. These destinations are blocked at the network level due to high cost and disproportionate association with toll fraud. Businesses with a legitimate operational need to contact satellite phone users typically maintain a dedicated satellite calling account for that purpose. We accept no liability for the inability to reach satellite phone destinations.

7. International Calling

International calling is disabled by default on new accounts. To enable it, contact us. Certain destinations require an additional unlock step due to higher costs or fraud risk — this includes countries that may seem routine, such as Australia, Malaysia, and Romania. If you need to reach a specific country and cannot dial it, contact us to discuss.

International calls are billed per minute at destination-based rates using 6-second billing increments. Current rates are available at zegittech.cloud/features. Rates are subject to change.

Alaska and Hawaii are billed at international per-minute rates and are not included in your bundled US minutes.

8. Included Features

Over 70 standard telephony features are included at no additional charge with all service plans, including: IVR/Digital Receptionist, Ring Groups, Call Queues, Voicemail and Voicemail-to-Email, Call Forwarding, Time Conditions, Music on Hold, Caller ID Filtering, Call Hunting, Audio Conferencing, Failover Routing, Call Encryption (TLS/SRTP), Phonebook, Sequences, and Call Parking.

Features with per-usage charges (not included free): Call Recording, Call Transcription, CNAM Caller ID Lookup, SMS/MMS, and Virtual Fax DID. Current rates are at zegittech.cloud/features.

9. Acceptable Use

Service may only be used for lawful US-based business communications. The following are strictly prohibited and will result in immediate suspension or termination:

  • Robocalling, auto-dialed campaigns, or unsolicited messages in violation of the TCPA or any other law
  • Caller ID spoofing, fraudulent number display, or impersonation of any individual or organization
  • Harassment, threats, intimidation, or abusive communications
  • Scam calls, phishing, fraud, or deceptive practices
  • Telemarketing without prior written authorization from us
  • Reselling access or sharing credentials with unauthorized parties
  • Any activity that damages network integrity or violates federal, state, or local law

We monitor call records for anomalous traffic patterns and cooperate fully with FCC enforcement and law enforcement agencies in accordance with applicable law.

10. SMS / MMS Business Messaging

SMS and MMS are available on eligible US and Canadian phone numbers. All business SMS/MMS traffic to US 10-digit numbers requires 10DLC Brand and Campaign registration with The Campaign Registry (TCR). Unregistered business SMS traffic has been blocked by all major US carriers since February 1, 2025.

We submit 10DLC registrations on your behalf. You are responsible for providing accurate registration information, obtaining proper opt-in consent from recipients, and including required elements in all outbound messages: your brand name at the start of each message, clear opt-out instructions (STOP), and "Msg & data rates may apply." MMS is available in beta — deliverability is not guaranteed for all message types or destinations.

11. Number Portability

You have the right to transfer your phone numbers to another provider at any time — including while on a term agreement or while your account is suspended — under FCC local number portability rules. We will not block or delay any port-out request. Outstanding balances and any applicable Early Termination Fee remain due regardless of porting.

US and Canadian number porting is free. A $8.75/number rejection fee applies if a port is rejected due to inaccurate or incomplete information you submitted. If no carrier fee is incurred by us, no fee will be charged to you.

After a port-in is complete, you are responsible for canceling service with your prior provider for the transferred numbers. We are not responsible for any charges from your former carrier after a port is complete.

A one-time $15.00 fee applies for a CNAM/LIDB name update after porting in a number, covering carrier coordination and processing.

12. Your Data

Call Detail Records (CDRs) are maintained for billing, compliance, and fraud monitoring. CDRs are Customer Proprietary Network Information (CPNI) under FCC rules and are not shared with third parties except as required by valid legal process, regulatory requirement, or your written consent.

If call recording is enabled on your account, recordings are stored on our upstream carrier infrastructure. We will not access, listen to, copy, or share recordings unless legally compelled by a court order from a judge of competent jurisdiction. We will notify you of any such request to the extent permitted by law.

You are solely responsible for complying with all applicable call recording consent laws, including two-party consent requirements in states such as California, Florida, and Illinois. Consult legal counsel before enabling call recording if you operate in multiple states or serve customers in those states.

13. Cancellation & Refunds

Month-to-month customers may cancel with 14 days' written notice by email or mail. Term agreement customers are subject to the Early Termination Fee terms in their signed Term Service Agreement.

Any credit balance remaining at the end of service will be refunded within 60 days of the last day of active service, after all pending usage charges are finalized. Refunds are issued by check mailed to the address on file.

30-day opt-out window (new activations only): If you disconnect all service or port out all numbers within 30 days of initial activation, the term agreement is void. All waived setup fees become immediately due, and you are charged only for actual days of service used plus any usage charges incurred. No Early Termination Fee applies within this window. After 30 days, standard ETF terms apply. This window does not apply to renewals or extensions of existing agreements.

14. Our Liability

If a service outage is caused solely by our infrastructure, our liability is limited to a pro-rated credit of the affected recurring fees for the verified outage period. We are not liable for outages caused by your internet service provider, your local network equipment, power failures at your location, or any other factor outside our direct control.

Our standard VoIP service does not carry HIPAA or GDPR certification. You are responsible for your own regulatory compliance. A HIPAA/GDPR Compliance Addendum is available on our Forms page for customers requiring documented data handling commitments.

In no event are we liable for consequential, indirect, incidental, or punitive damages of any kind arising from use of or inability to use this service — including, without limitation, inability to reach emergency services.

15. Governing Law

These Terms and all disputes arising from your use of our services are governed by the laws of the State of Minnesota. Legal proceedings shall be brought in Sherburne County, Minnesota. Federal telecommunications law supersedes state law where applicable.

We reserve the right to update these Terms with 30 days' written notice to the email address on your account. Continued use of service after the effective date of any change constitutes acceptance.
